1 Overview of Services

Warshalll Agency is a digital agency that provides creative and technical solutions to help businesses grow. Our Services may include, but are not limited to:

• Website design and development
• Search Engine Optimization (SEO)
• Content creation (copywriting, branding, graphic design)
• UI/UX design and consulting
• Marketing and digital strategy

Project-specific details such as deliverables, pricing, timelines, and responsibilities will be outlined in a Statement of Work (SOW) or Service Agreement issued before the project begins.

2 Ethical and Legal Standards

We conduct all business with honesty, respect, and integrity. Warshalll Agency will not participate in or support any activities that involve:

• Illegal operations (e.g., fraud, hacking, or malware distribution)
• Unethical or deceptive marketing (e.g., spam, black-hat SEO, misleading claims)
• Content that promotes discrimination, hate, or harassment
• Violation of copyrights, trademarks, or intellectual property laws

We reserve the right to refuse, suspend, or terminate any project that conflicts with our ethical principles or legal obligations.

3 Client Responsibilities

As a client of Warshalll Agency, you agree to:

• Provide accurate and complete information required to execute your project
• Ensure that all text, images, logos, and materials you provide are legally owned or properly licensed
• Avoid submitting or requesting work that breaches third-party rights or applicable laws
• Respond promptly with feedback, approvals, or materials to prevent unnecessary delays
• Comply with all applicable regulations (such as GDPR, CCPA, or advertising standards)

Failure to meet these obligations may result in project delays, suspension, or termination.

4 Fees, Payments & Invoicing

All pricing, payment terms, and schedules will be clearly detailed in your SOW or invoice.

• Payment Methods: UPI, Bank Transfer, Credit/Debit Card, PayPal, etc.
• Billing Cycle: One-time / Milestone-based / Monthly Retainer, as applicable
• Late Payment Policy: Overdue invoices may incur a late fee per month and/or temporary suspension of Services until full payment is received

We may also withhold the delivery of final project files until all payments are completed.

5 Ownership & Intellectual Property

Our IP: Warshalll Agency retains ownership of any pre-existing tools, software, design systems, frameworks, or processes used in the creation or delivery of your project.

Your IP: You retain full ownership of any materials, data, and assets you provide to us.

Deliverables: Upon full payment, you will receive either a license or full ownership rights (as defined in your SOW) for the final deliverables created for your project. This includes website files, graphics, and other creative assets produced specifically for you.

For complex IP arrangements, we recommend consulting a lawyer to ensure legal clarity and compliance with your business model.

6 Confidentiality

Both parties agree to maintain the confidentiality of all sensitive or proprietary information shared during the course of a project. Neither Warshalll Agency nor the client shall disclose confidential data—such as business strategies, personal information, or project details—to third parties without prior written consent, except where required by law.

7 Limitation of Liability

To the fullest extent permitted by law, Warshalll Agency shall not be held liable for:

• Any indirect, incidental, or consequential damages arising from our Services
• Third-party failures (e.g., hosting providers, API issues, software malfunctions)
• Misuse or illegal use of deliverables by the client
• Delays caused by external factors beyond our reasonable control (e.g., technical outages, natural disasters, pandemics)

Our total liability under these Terms shall not exceed the total amount paid by the client for the specific project or Service in question.

8 Termination of Services

Either party may terminate the agreement with written notice if the other party breaches any of these Terms.

Warshalll Agency also reserves the right to terminate a project immediately if the client:

• Requests illegal or unethical work
• Fails to make payment as agreed
• Engages in behavior that disrupts or disrespects our team

Upon termination, all pending payments remain due, and any partially completed work will be delivered or billed based on the agreed terms.

9 Governing Law & Dispute Resolution

These Terms shall be governed and interpreted in accordance with the laws of India. In the event of a dispute, both parties agree to first attempt resolution through negotiation or mediation. If unresolved, the matter will fall under the jurisdiction of courts in Kolkata, West Bengal.

10 Modifications to Terms

Warshalll Agency reserves the right to update or modify these Terms at any time. Any changes will be posted on our website, and the "Last Updated" date will reflect the most recent revision. Your continued use of our Services following any modifications indicates your acceptance of the updated Terms.
